The purpose of the General Terms and Conditions of Sale is to define the terms and conditions under which THE ENERGY STOCK ALLIANCE, Société par Actions, registered in Hong Kong under No. , having its registered office at 14F, 185 wan chai road Hong Kong (hereinafter «  Tesla2Used » or the «  Company ») provides consumers and non-professionals (hereinafter the «  Customer ») with the following services (hereinafter the «  Service(s)»):

• a service for placing classified ads for publication on its tesla2used.com website, as well as on the websites of its partners;
• a service to estimate the trade-in value of their used vehicles and a service to put them in touch with automotive professionals.

§1 Acceptance of the General Terms and Conditions of Sale

The present stipulations constitute a contractual agreement between the Customer and the Company.

By accessing or using the tesla2Used website (hereinafter collectively referred to as the «Site»), the Customer acknowledges that he/she meets the conditions for being a Customer as defined in Article 2 below, that he/she has read these General Terms and Conditions of Sale (hereinafter referred to as «GTCS»), and that he/she agrees to abide by them without reservation.

Access to or use of the Site and the Service offered therein are also subject to the Legal Notice and General Conditions of Use (accessible via the «Legal Notice» tab), the Privacy Policy and the Cookie Charter, which are also accessible online on the Site via hypertext links at the appropriate locations.

If the Customer refuses to comply with any of the obligations and conditions contained in these GCS, he/she is invited not to use the Service.

These General Terms and Conditions may be modified by the Company at any time and without prior notice. The Customer is therefore invited to regularly consult their latest updated version, available to all and permanently accessible on the Site's home page, by clicking on the « General Terms and Conditions » tab.

These General Terms and Conditions alone govern the contractual relationship between the Customer and Tesla2Used ® (hereinafter referred to as « the Contract »).

§2 Conditions of access to Services

The Customer is any consumer or non-professional, natural person of legal age, with the capacity to enter into a contract within the meaning of the law, who is the owner of a used vehicle.

A used vehicle is understood to be a motor vehicle or a two-wheeled motorcycle, not involved in an accident, registered in Europe and available for sale. If the seller acts in a professional capacity, even though he presents himself as a consumer or non-professional, he is liable to the penalties laid down in article L. 132-2 of the French Consumer Code for misleading commercial practices, i.e. two years' imprisonment and a fine of 300,000 euros.

The amount of the fine may be increased, in proportion to the benefits derived from the offence, to 10% of average annual sales, calculated on the basis of the last three annual sales known on the date of the offence, or to 50% of the expenses incurred in carrying out the advertising or practice constituting the offence. This rate is increased to 80% in the case of misleading commercial practices mentioned in b and e of 2° of article L. 121-2 when they are based on environmental claims.

Automotive professionals should contact the Professional Customers Department

Access to the Site's functionalities (posting classified ads, estimating the trade-in value of a vehicle, contacting automotive professionals, contacting a seller by e-mail, creating e-mail alerts and/or favorites, posting notices, etc.) beyond consultation is subject to prior registration.

Only passive consultation of the Site is not subject to prior registration.

In order to benefit from the Service, the Customer must first register by completing the registration form accessible on the Site:

• by clicking on « Login » and « Don't have an account yet? »
• by clicking on « Register »

The Customer must, on the Site, click in the checkbox "I have read and accept Tesla2Used's general terms and conditions, as well as the Privacy Policy and the Cookie Charter" or click on "Register" and thereby declare that he/she has read the present General Terms and Conditions and agrees to be bound by them without reservation; he/she thus acquires the status of Customer and has a personal account.

The Customer warrants to Tesla2Used ® that the information provided is accurate, truthful, up-to-date and complete. The Customer undertakes to regularly update all such information in the « My Account » section of the Site. In the event that the Customer provides data that is false, inaccurate, out of date or incomplete, or contrary to the law or regulations in force, Tesla2Used ® shall be entitled to suspend or terminate the Contract and the Customer's account, and to refuse the Customer access to all or part of the Service immediately or in the future.

The Customer must use a valid e-mail address and choose a password when registering in order to access the Service.

The Customer is solely responsible for any use that may be made thereof, and solely liable for the confidentiality thereof, as well as for any use of his/her account. Registered customers may change their password at any time in the « My Account » section.

The Customer agrees to inform Tesla2Used ® immediately of any unauthorized use of his account.

In the event of unauthorized use of the password and/or e-mail address by a third party, reported to Tesla2Used ® may require the Customer to change the password and/or e-mail address.

§3 Service operations

§3.1 Submission of advertisements

Tesla2Used ® and its partner, an administrator authorized by the Public Authorities to manage French vehicle registration documents, offer a free service, which is an integral part of the Service, allowing access and consultation of the technical data of the vehicle appearing on the Customer's vehicle registration document (in accordance with article L330-5 of the French Highway Code) as well as automatic entry of the description of the vehicle intended for sale.

The Customer certifies on his or her honour that he or she is the owner of the vehicle registration document or his or her successor in title, and gives Tesla2Used ® and its partner authorisation to access, consult and download, in his or her name and on his or her behalf, the technical and administrative data relating to his or her vehicle (in particular: make, model, registration date, tax rating, results of technical inspections, maintenance and repair operations, accidents, expert reports, etc.).

These data are intended for Tesla2Used ® to enable the Customer to benefit from the automatic entry of these data within his classified ad and the constitution of the "Autoviza ®" vehicle history report with a view to their publication on the Site.

To benefit from the Service, the Customer simply enters the vehicle registration number and the last 3 digits of the vehicle serial number. After downloading the vehicle's technical data, the customer must complete the missing mandatory fields, including mileage, options and price. This technical information (but under no circumstances the Customer's surname, first name, postal address, telephone number(s) or e-mail address) will be transmitted to the authorized administrator once the Customer has validated his/her classified ad.

The Service is reserved for Customers holding a French vehicle registration document. Otherwise, the Customer will not be able to place a classified ad on the Site.

The text of the classified ad must respect the existing headings on the Site; the Customer may not insert « free text » in his classified ad; no personal or subjective assessment or criteria will be accepted by Tesla2Used ®.

At the time of posting, the Customer must have a personal telephone number in French national format (landline or mobile). Special numbers (starting with 08), free or paid, are not accepted.

The Customer may benefit, free of charge, from a temporary substitute telephone number, a security number, appearing only in their classified ad for the duration of its publication, in place of their personal telephone number.

If the Customer wishes to benefit from this option, he accepts that his personal telephone number will be transmitted for this sole purpose to Tesla2Used ®'s technical service provider, who will then assign him a security number. This service provider is not authorized to make commercial use of the customer's personal telephone number.

In the event of a technical malfunction of the security number lasting more than six hours, the customer's personal telephone number will be mentioned in the classified ad.

During the posting process, the Customer may, if he/she wishes, add one or more optional and paying visibility options to the classified ad.

When validating the classified ad on the Site, in addition to the Customer's acceptance of these GTC, by clicking in the checkbox « I have read and accept Tesla2Used's general terms and conditions, as well as the Privacy Policy and the Cookies Charter », the Customer must enter a confirmation code which will be sent to him by SMS or by automatic call to the personal telephone number he has provided.

The validation of the classified ad by the Customer on the Site leads to its instantaneous acceptance by Tesla2Used ®.

While the classified ad is being published, the Customer can modify it online from their personal account.

§3.1.1 Right of withdrawal

The Customer has no right of withdrawal.

The Contract must be executed immediately, as soon as the Customer validates the classified ad and accepts the present GTC, before the end of the fourteen-day withdrawal period.

By accepting these GTC, the Customer gives his prior and express agreement to the immediate and full execution of the Contract and acknowledges the loss of his right of withdrawal.

The right of withdrawal cannot be exercised for contracts for the supply of services fully executed before the end of the withdrawal period and, if the contract subjects the consumer to an obligation to pay, the execution of which has begun with his prior and express agreement and with his acknowledgement of the loss of his right of withdrawal, when the service will have been fully executed by the professional in accordance with article L221-28 of the French Consumer Code.

§3.1.2 Processing of classified ads

Classified ads are published according to the information provided by the Customer on the Site under the conditions set out in article 3.1 hereof. It is the Customer's responsibility to check the classified ad when it is first published and to inform Tesla2Used® of any discrepancy between the vehicle advertised and the information published in the classified ad.

Photographs of the advertised vehicle are provided by the Customer. However, Tesla2Used ® may, if necessary, a posteriori, delete photographs of poor quality, photographs unrelated to the classified ad, "catalog" or "manufacturer" photographs, and photographs containing comments or people.

The Customer accepts that the photographs will not be returned and authorizes Tesla2Used ® to use them to illustrate its promotional documents in France for a period of five years. Otherwise, the Customer must send a written refusal to Tesla2Used ® prior to supplying the photograph.

§3.1.3 Duration and Termination

The Contract is concluded for an indefinite period (subject to the duration specific to the visibility options) as from the Customer's acceptance of the present GTC, manifested by clicking in the checkbox « I have read and accept Tesla2Used's general terms and conditions as well as the Privacy Policy and the Cookies Charter » on the Site.

However, in order to benefit from the « until sale » package, the Customer must renew his classified ad every thirty days, free of charge. Otherwise, publication of the Customer's classified ad will be suspended.

Visibility options are valid for thirty days; renewal for a further thirty days is subject to a fee.

The Customer may renew his classified ad and/or visibility options on the Site from his personal account.

Tesla2Used ® may immediately and automatically suspend access to the Site and the Service and, where applicable, terminate this Agreement immediately and automatically, without prior notice, in the event of a breach of the Customer's obligations as defined in these GTC.

§3.1.4 Rates

Classified ad posting is free. Visibility options and their renewal are subject to a fee. The price of the Service is that in force on the date of its renewal, and is mentioned on the Site.

The only method of payment accepted is by credit card, using a secure payment process.

§3.1.5 Customer commitments

The Customer undertakes to use the Site and the Service loyally and in compliance, in all circumstances, with the legal and regulatory provisions in force on the one hand, and, on the other hand, with these GTC. The Customer authorizes Tesla2Used ® to disclose all or part of the information transmitted in connection with the publication of his/her classified ad and to publish his/her classified ad, in any form whatsoever, on the Site and on those of its partners.

The Customer undertakes to be the actual owner of the vehicle offered for sale, which is the subject of the classified ad, or, in exceptional cases, its beneficiary. In this case, he declares that he has all the rights and authorizations required to place and publish the classified ad.

The Customer undertakes to publish a classified ad in his own name and for his own account only.

The Customer undertakes to ensure that the vehicle offered for sale in a classified ad is a used vehicle meeting the following cumulative criteria:

• a vehicle, whether a car or a two-wheeled motorcycle, that is present and visible as soon as the classified ad is published, and for as long as the classified ad is published on the Site;
• a vehicle located in mainland France or Corsica, to guarantee consumers the immediate availability of vehicles offered for sale.

The Customer undertakes not to put up for sale an accident-damaged vehicle that has not been repaired in accordance with the rules of the trade and the quality standards of the repair profession, or a severely damaged vehicle that is subject to a driving ban pursuant to articles L.327-4 et seq. and R.327-2 of the French Highway Code.

The Customer guarantees that the vehicle offered for sale complies with current legislation and regulations, as well as with the content of the classified ad published on the Site.

In particular, the Customer undertakes to ensure that the information transmitted is accurate, is not likely to mislead the public, is not fraudulent or does not involve the sale of counterfeit or stolen vehicles. It also guarantees that this information respects trademark rights and other intellectual property rights, as well as, more generally, the rights of third parties.

With regard to the photograph(s) of the vehicle illustrating the classified ad, the Customer guarantees :

• that it (they) faithfully represents the advertised vehicle and is (are) not likely to mislead the public;
• that the Customer holds all intellectual property rights to the photograph(s) (copyright), and that he/she authorizes Tesla2Used ® to use the photograph(s) in accordance with the present terms and conditions and, in particular, with a view to its/their reproduction within the Tesla2Used ® database and its/their distribution within the Site and the Service.

During exchanges and meetings with potential buyers, the Customer undertakes to have a cordial and respectful attitude towards others and to respect the rules of decorum.

In the event of a breach of the aforementioned provisions, Tesla2Used ® shall be entitled to suspend or terminate the Contract and the Customer's account, and to refuse the Customer access to all or part of the Service immediately or in the future.

In the event of sale of the advertised vehicle during publication, the Customer undertakes to delete his classified ad directly from his personal account on the Site.

In accordance with article 242 of the French General Tax Code, Customers carrying out commercial transactions are reminded of their tax and social security obligations.

Thus, the Customer may be liable to pay income tax for his or her activity on the Site. It is therefore the Customer's responsibility to declare income from this activity to the tax authorities.

If the Customer is a self-employed worker or employer and carries out all or part of his activity via the Site, he is liable to pay social security contributions to Urssaf.

If you fail to pay all your social security contributions, you may be subject to a tax reassessment.

§3.1.6 Customer warranties

In the event that Tesla2Used's liability is judicially sought due to a breach by a Customer of its obligations under the terms of the GCS, Tesla2Used may call upon the Customer as guarantor.

Consequently, the Customer indemnifies Tesla2Used as well as its directors and employees, and/or the companies of its group, against the consequences of any legal or de facto disturbance, and in particular any action directed against Tesla2Used in relation to a breach of the GTC.

The Customer, by virtue of this guarantee, shall bear all damages and interest to which Tesla2Used may be condemned, which shall extend to any legal costs they may have to bear, including irreducible costs, lawyers' fees, costs, and publication costs.

It is expressly agreed that the Customer undertakes to inform Tesla2Used immediately of any claim made by a third party and relating to the publication of a Classified Ad, so that Tesla2Used may suspend or interrupt the publication of a Classified Ad on the Site, without such suspension or interruption giving rise to any right to compensation to the Customer.

§3.2 Estimating the trade-in value of the used vehicle and contacting an automotive professional

§3.2.1 Estimating the trade-in value of used vehicles

The Site offers a service for estimating the trade-in value of used vehicles.

By entering the registration number of the vehicle to be appraised, Tesla2Used and its contractual partner, an administrator authorized by the Public Authorities to manage French vehicle registration documents, offer a free service, which is an integral part of the Service, enabling access to and consultation of the technical data of the vehicle appearing on the Customer's vehicle registration document (in accordance with article L330-5 of the French Highway Code), as well as automatic entry of the description of the vehicle to be appraised.

The Customer certifies on his or her honour that he or she is the owner of the vehicle registration document or his or her successor in title, and authorizes Tesla2Used and its partner to access, consult and download, in his or her name and on his or her behalf, the technical and administrative data relating to his or her vehicle (in particular: make, model, registration date, tax rating, results of technical inspections, maintenance operations and repairs, accidents, expert reports, etc.).

This data is intended for Tesla2Used ® to enable the customer to obtain an estimate of the trade-in value of his used vehicle.

After downloading the vehicle's technical data, the customer must complete the missing mandatory fields, i.e. mileage and zip code.

The Service is reserved for customers holding a French vehicle registration document. Otherwise, customers will not be able to obtain an estimate of the trade-in value of their used vehicle on the Site.

This technical data is transmitted to Automotive Professionals if the Customer wishes to be put in contact with them.

To obtain an estimate of the trade-in value of the vehicle he/she wishes to sell, the Customer must fill in all the fields required by the Site, providing complete, detailed, accurate and correct information about the vehicle, in particular its characteristics and condition. The estimated trade-in value provided by the Site is based on the information supplied by the Customer.

Customers may enter their vehicle's options on the Site, but these will not be taken into account in the estimated trade-in value. The options will only be valued by the automotive professional if the Customer wishes to be put in contact with one.

The estimate will be based on the car's rating and the depreciation of the vehicle itself, as well as the current state of the used car market. Any repair costs will also be deducted from this rating, based on the hourly rate for each department, so the estimate may vary slightly from one department to another.

The proposed trade-in value is generally lower than the price that would be obtained by selling the vehicle directly to another private individual, in order to take into account the costs of reconditioning, resale costs, warranty costs and the professional buyer's margin.

Any error, intentional or unintentional, in the information provided by the Customer would result in an erroneous estimate, which could therefore not be used by the Customer and potential buyers.

The only purpose of this estimate is to provide information on the possible purchase price of the vehicle by an Automotive Professional. The online estimate on the Website therefore constitutes neither a definitive offer to buy by an Automotive Professional, nor a definitive offer to sell by the Customer for his or her vehicle.

This estimate will remain valid for a period of 7 days.

Tesla2Used may contact the Customer by telephone and/or e-mail:

• if the estimation process is interrupted, to find out the reasons and, if necessary, to remedy the situation,
• to propose an appointment with an Automotive Professional who may be able to buy his or her vehicle.

§3.2.2 Customer commitments

The Customer undertakes to use the Site and the Service loyally and in compliance, in all circumstances, with the legal and regulatory provisions in force on the one hand and, on the other hand, with these GTC.

The Customer accepts that Tesla2Used may communicate his/her surname, first name and personal telephone number to the Automotive Professionals if he/she wishes to be put in contact with them.

The Customer undertakes to be the actual owner of the vehicle which is the subject of the appraisal request or, in exceptional cases, its beneficiary. In this case, he declares that he has all the necessary rights and authorizations to offer the vehicle for sale.

The Customer guarantees that the vehicle offered for sale complies with current legislation and regulations.

In particular, the Customer undertakes to ensure that the information transmitted is accurate, is not likely to mislead, is not fraudulent or does not involve the sale of counterfeit or stolen vehicles. He also guarantees that this information respects trademark rights and other intellectual property rights, as well as, more generally, the rights of third parties.

In the event of a breach of the aforementioned provisions, Tesla2Used ® shall be entitled to suspend or terminate the Contract and the Customer's account, and to refuse the Customer access to all or part of the Service immediately or in the future.

In accordance with certain articles of your country's General Tax Code (in France 242 bis), Users carrying out commercial transactions are reminded that they have tax and social security obligations. Thus, Users may be liable to pay taxes in respect of their activity on the Site. It is therefore the User's responsibility to declare the income derived from this activity to the tax authorities in his/her country.

For further information, the User may consult the website of the Direction Générale des Finances Publiques in his/her country.

If the User is self-employed or an employer and carries out all or part of his or her activity via the Site, he or she is liable to pay social security contributions to the Urssaf.

For more information on how to declare and pay (payability) contributions, the User may consult the site of the Public Social Security Service in your country.

Users are reminded that if they fail to pay all social security contributions, they may be subject to a fine.

§4 Liability

§4.1 Submission of classified ads

Classified ads (text and photographs) are placed online under the responsibility of their authors.

The classified ads (text and photography) posted online are therefore likely to be neither complete, nor exhaustive, nor current, and it is the responsibility of Site users to verify said information before entering into any contract.

Tesla2Used ® has no control over the quality, operation, safety, transferability, conformity or general condition of the vehicles advertised, the ability of sellers to sell said vehicles or the ability of buyers to pay for said vehicles.

§4.2 Estimating the trade-in value of the used vehicle and contacting an automotive professional

The Customer acknowledges that the trade-in value of his or her vehicle is provided by the Site, on the basis of information provided by the Customer, for information purposes only and that it does not bind the Site or its commercial partners, the Automotive Professionals.

Tesla2Used cannot be held responsible for an erroneous estimate due to human or computer error.

Tesla2Used has no control over the quality, functioning, safety, transferability, conformity, general condition of the vehicles estimated, the ability of the sellers to sell the vehicles, nor the ability of the buyers to pay the price.

Tesla2Used may never be held liable in the event of disagreement between the Customer and the Automotive Professional, particularly with regard to the condition of the vehicle, the estimate transmitted and/or any damage resulting from a sales contract drawn up directly between the Customer and the Automotive Professional.

§4.3 General provisions

Tesla2Used ® is in no way responsible for any errors, omissions or inaccuracies that may be found in the content, opinions or other information provided by a Customer and published on the Site.

Potential buyers (consumers or non-professionals and/or automotive professionals) may contact Customers free of charge.

Apart from this technical contact, Tesla2Used does not intervene in telephone and/or electronic exchanges between Customers and potential buyers.

It is reminded that Tesla2Used is a third party to the correspondence and relations between the various Customers and potential buyers, advertisers or organizers of commercial operations (whether or not they are partners of Tesla2Used), and therefore excludes all liability in this respect.

The use of the Site does not create any obligation for the Customer to contract with potential buyers.

Consequently, Tesla2Used does not guarantee that an agreement can be reached between Customers and the potential buyers with whom they have been put in contact.

For this purpose, it is recalled that the sales contract is not concluded on lacentrale.fr, agreements are concluded directly between Customers (sellers) and buyers. Customers are free to choose the buyer with whom they wish to conclude an agreement.

Tesla2Used does not intervene in any way in transactions between sellers and buyers. Tesla2Used cannot be held responsible, directly or indirectly, for these transactions, which are governed by the general rules of the French Civil Code (art. 1641 et seq.).

Tesla2Used has no knowledge of the contracts concluded.

Tesla2Used ® will use its best efforts to ensure the proper functioning of the Service and/or the Site. However, Tesla2Used ® makes no warranty as to the uninterrupted operation and/or continuity of the Service and/or the Site. Tesla2Used ® shall not be liable for any delay, failure, inability to access the Service and/or the Site, or interruption of the Service and/or the Site.

Tesla2Used ® cannot be held responsible for the quality or specifications of products or services offered by its partners (financing, insurance, etc.).

§5 Major Force

Tesla2Used ® may not be held liable if the performance of any of its obligations is prevented or delayed due to a case of major force as defined by Article 1218 of the Civil Code as amended by Ordinance No. 2016-131 of February 10, 2016 and interpreted by the case law of the French Courts, and in particular, without limitation, natural disasters, fires, malfunction or interruption of the telecommunications network or power grid.

§6 Personal data

In the context of accessing and using the Service, the Parties undertake to process the personal data of individuals, in compliance with French and European regulations on the protection of personal data.

Tesla2Used® undertakes to process the Customer's personal data in accordance with the terms and conditions set out in the Tesla2Used Site Privacy Policy.

Tesla2Used does not carry out telephone canvassing.

In application of the provisions of article L.223-2 of the French Consumer Code, Tesla2Used ® informs the Customer of his or her right to register on the opposition list for telephone canvassing. Registration for the Bloctel service is free of charge on the following website: https://www.bloctel.gouv.fr.

§7 Interpretation of the present contract - General provisions

Should any provision of this Agreement be declared illegal, void or unenforceable by any court or authority whatsoever, the validity of the remaining provisions of this Agreement shall not be affected.

The headings assigned to the articles, paragraphs, sub-paragraphs and schedules of this Agreement are for convenience of reference only and shall not be relied upon in interpreting this Agreement. Unless otherwise indicated, all references in this Agreement to sections, subsections, paragraphs and schedules are references to the sections, subsections, paragraphs and schedules of this Agreement.

Tesla2Used ®'s failure to enforce any provision of this Agreement, whether permanently or temporarily, shall not be deemed a waiver of Tesla2Used ®'s rights under such provision.

§8 Evidence agreement

Tesla2Used ® and the Customer mutually agree that Tesla2Used ®'s computer systems and files will be used as proof between them.

Consequently, the computer files and registers stored within the computer systems operated by Tesla2Used ® or on its behalf under reasonable conditions of security and reliability, may be validly used and produced as proof of the performance of the Contract, and more generally of any event, communication or relationship occurring between the Parties in connection with such performance, under the conditions provided by law.

Thus, Tesla2Used ® may validly produce in any proceedings, for the purposes of proof of any act, fact or omission, the data, files, programs, recordings or other elements, received, issued or stored by means of the aforementioned computer systems, on any digital or analog media, and rely on them, except in the case of manifest error.

§9 Applicable law - Complaints - Mediation

The conclusion, validity, interpretation and execution of the present contract and any consequences thereof are governed by French law.

Any complaint must be sent in writing to Tesla2Used ® :

If Tesla2Used®'s response is unsatisfactory, the Customer may refer the matter, directly and free of charge, to the Mediation and Arbitration Centre in the country to which you belong. The Customer must specify the subject of the dispute to the Mediation Center and send it all the documents in the file as indicated in the referral form. Failing this, the case will not be considered.

The Mediation Centre appoints an approved mediator for each referral. The mediator thus appointed carries out his or her mission with complete independence, impartiality and neutrality, and in compliance with the code of ethics for mediators.
